Constitution

  1. The Name of the organisation will be Wheels in Action
  2. The aims/ objectives of the organisation are:

    Aim: To help develop rural communities in developing countries.

    We will do this through:

    • Collecting, repairing and shipping out old and unwanted bicycles to third world developing, mainly African, countries
    • Raising awareness of the needs of these developing countries
    • Improving the local environment by recycling old bicycles attendance at two consecutive meetings of the organisation. All members (herein so-called) will have equal rights and privileges with respect to the election of the Officers of the organisation (defined below).

  3. The following officers will be elected at each AGM:
    • Chair
    • Secretary
    • Treasurer; and
    The Committee shall normally consist of the above officers and up to a maximum of three other members who will be elected at the AGM. The Committee will have the power to co-opt up to three additional members to the Committee.
  4. The Committee may only take decisions when at least three members of the Committee, including two officers, are present.
  5. An AGM will be held each year not later than four months after the end of the financial year which will be 31 March each year. The Committee will give not less than 21days notice of the date fixed for an AGM. A quorum at an AGM shall be 5 members.
  6. An auditor will be appointed at the AGM, or failing that, by the Committee. Audited accounts will be presented at the AGM for approval by the members.
  7. This constitution may be amended by a motion passed at an AGM by at least two thirds of the members present at the meeting.
  8. Should 'Wheels in Action' cease to exist any residual funds shall be paid to the charity 'Tools for Solidarity'.
